Before we begin, please prepare the following:

Required Documents for Foreign Individuals (as Shareholder or Director):

Must be valid for at least 18 months.

Indonesian NPWP or home country tax ID for compliance and reference.

Email address and mobile for correspondence and registration.

Required Documents For Foreign Corporate Shareholders:

Issued by the relevant government authority in the country of registration.

Brief description of the business activities.

Must include current shareholders and directors.

Authorising investment into the Indonesian PT PMA and appointing a representative to sign documents on behalf of the company.

The individual appointed to represent the corporate shareholder in Indonesia.

For KYC and compliance purposes.

Company email and phone number, and contact person details.

For Company Incorporation (PT PMA):

Please provide three (3) name options in order of preference, to be submitted for name approval with the Ministry of Law and Human Rights.

  • Specify up to five (5) business activities in line with the official Indonesian KBLI classification.
  • Activities must align with your intended operations and may require additional licenses depending on the industry.

Minimum IDR 10 billion (approx. USD 650,000) for companies with any level of foreign ownership.

  • At least two (2) shareholders (can be individuals or corporate entities).
  • Clearly state the percentage ownership breakdown for each shareholder.
    • Minimum one (1) Director is required.
    • The Director can be a foreigner and will be responsible for day-to-day operations.
    • If residing and working in Indonesia, the Director must apply for a KITAS.
  • Minimum one (1) Commissioner is required.
  • The Commissioner can be a foreigner, but must be a different individual from the Director.
  • The role is supervisory and does not typically require a KITAS if not actively involved.
