Required Documents for Foreign Individuals (as Shareholder or Director):
1. Passport Copy
Must be valid for at least 18 months.
2. Personal Tax Identification Number (if available)
Indonesian NPWP or home country tax ID for compliance and reference.
3. Contact Information
Email address and mobile for correspondence and registration.
Required Documents For Foreign Corporate Shareholders:
1. Certificate of Incorporation
Issued by the relevant government authority in the country of registration.
2. Company Profile or Business License
Brief description of the business activities.
3. Articles of Association (with latest amendments)
Must include current shareholders and directors.
4. Board Resolution
Authorising investment into the Indonesian PT PMA and appointing a representative to sign documents on behalf of the company.
5. Passport Copy of Authorized Representative
The individual appointed to represent the corporate shareholder in Indonesia.
6. Corporate Tax ID (if available)
For KYC and compliance purposes.
7. Contact Information
Company email and phone number, and contact person details.
For Company Incorporation (PT PMA):
1. Proposed Company Name
Please provide three (3) name options in order of preference, to be submitted for name approval with the Ministry of Law and Human Rights.
2. Business Activities (KBLI Codes)
- Specify up to five (5) business activities in line with the official Indonesian KBLI classification.
- Activities must align with your intended operations and may require additional licenses depending on the industry.
3. Minimum Paid-Up Capital
Minimum IDR 10 billion (approx. USD 650,000) for companies with any level of foreign ownership.
4. Shareholding Structure
- At least two (2) shareholders (can be individuals or corporate entities).
- Clearly state the percentage ownership breakdown for each shareholder.
5. Director
- Minimum one (1) Director is required.
- The Director can be a foreigner and will be responsible for day-to-day operations.
- If residing and working in Indonesia, the Director must apply for a KITAS.
6. Commissioner
- Minimum one (1) Commissioner is required.
- The Commissioner can be a foreigner, but must be a different individual from the Director.
- The role is supervisory and does not typically require a KITAS if not actively involved.
Frequently Asked Questions
Can a foreigner become sole shareholder?
No, Indonesian Company Act requires minimum two shareholders. The shareholders can be a foreign entity or a foreign individual. There is no minimum shareholding for each of the shareholders. It can be 1%.
Is the Company Secretary required for Indonesia Company?
No. However, a Commissioner of the company is required. A commissioner ensures compliance with Indonesian laws and provides oversight to the company’s operations.
Is the office address required for Indonesia Company?
Yes. An office address and tenancy agreement is required for Indonesian Company Registration. However, we will be supplying you with an office address and tenancy agreement for incorporation purposes.
What is the role of a Commissioner?
Supervise and monitor the work of the Directors to make sure every activity is done and the decisions made are in coherence with the Shareholder’s goals.
Can the same person be a Director and Commissioner?
No, it has to be different people.
Can the same person be a Shareholder and Director?
Yes, it can be the same.
